GENERAL SALES CONDITIONS

Before placing any order on the Online Shop, Jesurum kindly invites You to carefully read the present general sales conditions (hereinafter referred to as “General Conditions”) and, once the  purchasing procedure established by the Online Shop has been concluded, to print them and to keep a copy or to save to save them in Your pc.

 

Premises

The present General Conditions discipline every purchase of products branded Jesurum, to be dispatched to the States of the European Union listed under art. 1 of the present General Conditions, made via the online shop accessible through the URL http://eshop.jesurum.it from all the Customers aged  over 18 (hereinafter referred to as “Customers”), except for those provisions expressly only applicable to Consumers Customers only. “Consumers Customers” mean individuals acting for purposes different from the business, commercial, artisanal or professional activity eventually carried out, under art. 3 co. 1 of the L. Decree 6 September 2005, n. 206 (hereinafter referred to as “Consumer Code”). Also Consumers Customers shall be aged over 18.

It is presumed that a user who places a purchase order by entering concurrently the VAT number among the personal data of the profile is not a Consumer Customer.

Moreover, articles from 45 to 67 of the Consumer Code are applied to the Sale Contracts signed by Consumers Customers.

The users interested in deliveries of Products present on the Online Shop to Countries different from those listed under art. 1, are invited to get in direct contact with the Customer Service by sending an e-mail to online@jesurum.it.   

Notwithstanding the provisions of article 49, clause 5 of the L. Decree 6 September 2005, n. 206, Jesurum can modify, at any moment and without any advance notice, the content of the General Conditions as referred in this document. The eventual changes made will be valid starting from the date of publishing on the Online Shop, as declared in the heading of the General Conditions and they will be applicable only to the Purchase Orders sent from the Customer subsequently to the date of publishing.

1. Premises and Definitions

The premises are integral part of the present General Conditions also to the purposes of their interpretation.

The titles assigned to the articles and/or paragraphs have the only function of facilitating the reading of the present General Conditions and do not exempt the Customer from the careful examination of the whole document before purchasing.

The following terms and phrases written with a Capital initial have the meaning indicated below, it being understood that the terms with singular form are also defined as plural and vice-versa.

  • Customer: it means any subject (physical or legal person) who purchases one or more Products on the Online Shop, accepting the General Conditions.
  • Consumer Customer: it means the Customer having the qualification of consumer under art. 3 par. 1 of the L. Decree 6 September 2005, no. 206 (hereinafter referred to as “Consumer Code” also), which defines “consumer” as the physical person acting for purposes outside the business, commercial, artisanal or professional activity eventually carried out”, who purchases one or more Products through the Online Shop, accepting the General Conditions. 
  • Jesurum: it means Jesurum S.r.l., with registered office in Spilimbergo PN, Italy, Via Vittorio Emanuele II, 1, registered in the Register of Companies of Pordenone, Tax Code and Vat Number 01563650934, REA (Economic Administrative Index) N-86540.
  • Parties: it means Jesurum and the Customers jointly.                                               
  • General Conditions: it means the present general sales conditions and the eventual future versions that can be published on the Online Shop by Jesurum.
  • Consumer Code: it means the Leg. Decree 6 September 2005, no. 206.  
  • States or Countries: it means one of the Member States of the European Union, where Jesurum will deliver the Products purchased on the Online Shop:

  • Online Shop: it means the virtual shop, managed by Jesurum and which is accessible via the URL http://eshop.jesurum.it, through which it is possible to purchase the Products.
  • Sales Contracts: it means the sales contracts of Products concluded, under art. 4., between Jesurum and the Customers through the Online Shop.
  • Orders: it means the Purchase Orders of Products submitted by the Customers, in compliance with the General Conditions and according to the procedure under art. 3.
  • Order Receipt: it means the e-mail massage through which Jesurum informs its Customers that the Order has been received by the system. It does not mean that the Order is confirmed nor accepted
  • Order Acceptance: it means the e-mail massage through which Jesurum, after having received the payment of the sum due, informs its Customers about the Orders acceptance and starts arranging the dispatch of the Products.
  • E-mail of Dispatch: it means the e-mail massage through which Jesurum informs its Customers that the Products have been dispatched to the address indicated by the Customer.
  • Price: it means the Products selling price as indicated, except typos, on the Online Shop in correspondence of the Products.
  • Products: it means the Products branded Jesurum whose photo is published on the Online Shop to the purposes of their sale.
  • Profile: it means the section of Online Shop in which Customers are able, upon authentication, to: (i) read and amend, until the receipt of the Order Acceptance communication, their personal data and the addresses where the Products ordered shall be dispatched and delivered; (ii) gain access to any other specific function related to their activity on the Online Shop.
  • Website: it means Jesurum’s website accessible through the URL http://www.jesurum.it.  

2. Object

2.1 The present General Conditions regulate each purchase of Products, to be delivered to European Union Countries listed under art.1 of the present General Conditions, placed through the Online Shop by all the Customers, except for those provisions expressly applied only to Consumers Customers. For clarity: the present General Conditions regulate purchases made on the Online Shop by Customers and Consumers Customers with delivery of Products exclusively to the European Union Countries listed under art.1.

The General Conditions are integral and essential part of all the Sale Contracts.

2.2 Without prejudice to the provisions of article 49, clause 5 of the L. Decree 6 September 2005, no. 206, Jesurum retains the right to modify, at any moment and without any advance notice, the General Conditions. The modifications eventually made will be valid starting from the date of publishing on the Website or Online Shop, as declared in the heading of the General Conditions. The General Conditions published on the Online Shop at the moment of the Orders submittal by Customers will be considered applicable to the Sale Contracts.

2.3 In case of conflict between the General Conditions and eventual other terms and conditions related to the Sale Contracts published on the Online Shop, the provisions of the present General Conditions will be applicable. 

3. Purchasing procedure - Instructions for Orders Submittal

3.1 A Customer can purchase the Products, described in detail on the Online Shop, as illustrated in the related information sheet, in the respect of the technical procedures indicated hereunder. The Order sending by the Customer implies the complete awareness and full acceptance of the General Conditions, as well as the examination of all the further information included in the Online Shop or in Website, also referred to with a link. Only a Customer, intended as a physical person, adult and who is not in a legal incapacity state, can send an Order.

3.2 To send the Orders, Customers have to register to the Online Shop by entering all the “compulsory” data and choosing a password to send the Orders and to gain access to their profile, also at a later time.

3.3 Customers can purchase the Products by selecting them on the Online Shop section dedicated to the type of Product they are looking for and adding them to the “cart”. If the Customers wish to buy more Products, the same procedure indicated above shall be repeated by clicking on “add other products”. Once the selection of the Products has been completed, the Customers shall proceed with the registration as set forth by art. 3.2 above, if this has not been done yet, or, if they are already registered they shall authenticate themselves by entering their e-mail address and password in the fields provided and by clicking on “go to the checkout”. After having ascertained the correctness of the data related to the Product/s selected and of the “delivery information”, Customers shall choose the Payment methods as of art. 7. After the Payment method has been chosen, the Customers can submit the Orders by clicking on “send”.

4. Conclusion of Sales Contracts

4.1 The Order sent by the Customer represents an offer of purchase of the Products, subject to their availability and to the Order acceptance by Jesurum. Jesurum undertakes to send to Customers the Order Receipt, including the indications to make the payment within four working days from the Orders receipt by the Customers. After the payment has been received, Jesurum will send the communication of Order Acceptance to the Customer and will arrange the dispatch of the Products. The Customer has the right to modify or cancel the Order until Jesurum will send the Order Acceptance, only by means of the specific functions present on the Online Shop. In any case, if the Customers do not receive any information about Order Acceptance, within the terms indicated above, the relative Order will be considered rejected by Jesurum and hence, ineffective.

4.2 The Sale Contracts are considered concluded between the Parties when the Customers receive the Order Acceptance communication. Jesurum has the right to accept or decline, at its complete discretion, the Order of the Customer, all without allowing the Customer to exercise any right and/or claim, on whatever basis, not even for compensation, in case of non–acceptance of the Order. In this case, Jesurum will inform the Customer, no later than four working days from the Order receipt, about its non-acceptance and its ineffectiveness.

4.3 In case Jesurum detects an incorrect price or indication of the characteristics of the Products object of the Order placed by the Customer, due to errors or typo on the Website or on the Online Shop, Jesurum will inform the Customer and invite the Customer to place a new order, if still interested in it.

4.4 Orders will be stored in the Online Shop database, according to the methods and in the respect of provisions under the L. Decree 30 June 2003, no. 196 (“Privacy Code”) and will be accessible by contacting Jesurum as provided under art. 16, that is by gaining access to the Profile.

5. Products Availability

5.1 Only the Products presented on the Online Shop in the section dedicated to purchase operations, with the icon “add to cart” are available to be purchased by Customers.

5.2 In correspondence with the Products published on the Online Shop, Jesurum indicates if the Product:

(i) is available in the warehouses;
(ii) is not available in the warehouses;
(iii) is available “upon request”;
(iv) is “customizable”.

Jesurum reserves the right not to indicate the availability of the Products (or some of them) published on the Online Shop.

5.3 The type, availability and price of the Products published on the Online Shop may vary at any moment and without notice, and this will not imply any responsibility, not even a claim of compensation, for Jesurum towards the Customers. However, limited to the Orders to be still accepted or already accepted by Jesurum, the sales conditions and the Prices applied will be those in force at the moment when the Order is sent by the Customer, except for those Orders not accepted as of art. 4.2.

5.4 The indication about Products Availability is indicative and not binding, it being understood that the Products defined “not available” cannot be ordered by Customers. In case a Product which is available when the Order is sent turns up to be unavailable, Jesurum undertakes to inform the Customer, by e-mail, about the times indicatively required for availability of the Product/s object of the Order. The Customer can cancel the Order within 48 hours from the receipt of this information from Jesurum (without prejudice to the Right of Withdrawal as to art. 9) by sending an e-mail to online@jesurum.it. In this case, Jesurum undertakes to refund the Price already paid as soon as possible.

5.4 The visual representation of the Products on the Online Shop corresponds to their photographical image and it is aimed at presenting them for sale, with no guarantee nor commitment for Jesurum regarding the exact correspondence of the image shown on the Online Shop or on the Website with the real Product. In case of difference between the image and the description sheet of the Product, the information reported in the Product sheet shall always apply.

6. Price and shipment costs - Taxes and Duties

6.1 The Price is expressed in € (Euros). The Price applicable is the one indicated on the Online Shop, except typos, when the Orders are sent by the Customers.

6.2 The Price is inclusive of VAT (22 %).

6.3 Except otherwise indicated on the Online Shop as of purchase, the Price does not include the shipping costs, whose amount can vary according to the type of delivery, the quantity of Products to be delivered, their volume, their weight and their destination.
6.4 The eventual contribution requested by Jesurum for the shipping costs is indicated, separate from the Price, before the Order is sent by the Customers and, where provided, it will be paid by the Customers together and at the same time of the payment of the Price according to the procedures under art. 7.

6.5 Eventual taxes, levies, duties and other fees provided for by the laws of the State where the Products are dispatched and delivered, will be entirely at the Customers’ charge and paid by them upon delivery of the Products directly to the competent fiscal or custom authorities that is the forwarding agent in charge of delivery.

7. Payment methods

7.1 Customers can make the payment of the Price and of the eventual contribution for shipping costs by credit card, PayPal or bank transfer. Jesurum reserves the right to change, at any moment, the payment methods for Customers, it being understood that those indicated on the Online Shop when the Orders are sent by Customers will be considered accepted.

7.2 In case of payment by credit card, Customers will be charged of the Price and of the eventual contribution for the shipping costs automatically. The data of the credit cards sent during the Orders placing are protected and are sent directly to the Bank which handles the payments. The payment is directly made on a safe server, with SSL encryption key as to grant absolute safety during payment. The data of the credit card are not accessible by Jesurum and not even by third parties, neither when the Orders are sent nor subsequently. In order to grant Customers the safety and the functionality of the payments made by credit card, Jesurum offers the virtual POS payment option BNL. For this reason, in the account statement of the credit card, the Customers will be charged with the following description of payment "BNL

7.3 In case of payment by bank transfer, Customers shall make a bank transfer in favour of the bank data indicated on the Online Shop, and the description of payment they must indicate the Order number advised by Jesurum in the Order Receipt communication.

7.4 In case of payment via PayPal, when the Orders are sent from the Customers the Web session will be transferred on the PayPal Safe Web website. On this Website, Customers can make the payment of the Price and of the eventual contribution for shipping costs by using their own PayPal account and according to the conditions of use of the PayPal service subscribed by the Customers in that moment or before. The amount of the Price and the contribution for shipping costs are automatically charged on the PayPal account of the Customers.

7.5 If requested by Customers when the Orders are sent, Jesurum will send the Customers an invoice, by e-mail or included in the parcel including the Products. In order to issue the invoice, the information supplied by the Customers in the Order will be considered valid. The invoice cannot be modified after it has been issued by Jesurum, nor it will be possible to issue an invoice after the Order has been processed to Customers who have not provided the VAT number when the order was placed.

7.6 The information received by Jesurum under the present art. 7 will be used exclusively to complete the procedures connected with the sale of the Products and for the refund procedures in case of Right of Withdrawal under art. 9. exercised by the Customers. 

7.7 Each operation and/or condition of payment eventually granted to the Customer as an exception to the General Conditions will only be valid if Jesurum will have accepted it in writing.

8. Products shipment and delivery

8.1 The Products will be dispatched by Jesurum only towards European Union Countries listed under art.1 of the present General Conditions.

8.2 “Shipment” of the Products by Jesurum is intended as their delivery to couriers selected from time to time under the following art. 8.5.

8.3 Jesurum will dispatch the Products only upon receipt of the payment of the sum due intended as

Price and shipment charges, where provided.  

8.4 After the payment of the Price has been received, Jesurum undertakes to do everything in its power to send the Products within the shortest possible time and, however, no later than 30 (thirty) days from the day following the sending of the Order Acceptance from Jesurum to the Customer. In case of non-execution of the Order by Jesurum, due to unavailability, even temporary, of the Product or to other causes, Jesurum will inform the Customer in writing and will refund the sums eventually already paid by the Customer for the payment of the Products and of the shipping costs. It is understood that the shipment and sale of the Products can be delayed or suspended during the summer season. 
8.5 Jesurum ensures the shipment of the Products, towards the European Union Countries listed under art.1 of the present General Conditions, by means of express couriers selected from time to time according to the Product object of the Order and of the place of destination. The Products are dispatched by Jesurum, and delivered by the courier selected by Jesurum, to the address indicated by Customers as of their registration to the Online Shop or to a different address indicated when the Order was sent.

8.6 Jesurum undertakes to do everything in its power to ensure that the Products dispatched are delivered by the couriers selected:

- in Italy, within 4  days from the date of shipment;

- outside Italy, within 10 days from the date of shipment.

8.7 However, the delivery Terms cannot be considered binding and Jesurum, which is not able to monitor directly the deliveries of the Products after their shipment, cannot be considered responsible, at any title, for their non-fulfilment, every time the delay in the Order processing or in the Delivery of the Products is due to causes not directly attributable to Jesurum’s conduct.

8.8 Customers can check the Orders status through the online function “Order Tracking” supplied by the courier chosen by Jesurum for delivery. This check can be made by the Customers only after the shipment of the Products and by using the tracking information provided by Jesurum by e-mail.

8.9 Customers, or other subjects charged by the Customers, to be found at the address indicated for the Products delivery in the Order Acceptance communication, shall verify, upon delivery, that:

(i) the Products correspond to the information included in the accompanying document dispatched with the goods, both for quantity and type;

(ii) the packaging and the packing materials of the Products shall be intact, not damaged, not wet or however altered;

8.10 Any damage to the packaging of the Products shall be immediately notified by Customers by writing “ACCEPTED SUBJECT TO VERIFICATION” on the delivery receipt of the courier. It is understood that, once the courier’s document is signed with no objection, the Customers will not be entitled to raise any objection to Jesurum in reference with the external characteristics of the delivered goods.

8.11 The Products can be delivered by the couriers only to Customers or to authorized subjects; the subject receiving the Products shall put his/her signature to certify delivery. Couriers do not deliver to PO boxes nor they will drop the Products in the post or other similar places. Unless otherwise indicated to the Customer by Jesurum, the Products delivery is meant at the street level.

8.12 In case of absence of the Customer or of the authorized subject, in the place indicated by the Customer and on the scheduled day of delivery, the courier will leave a notice of second delivery for the following working day. If also the second attempt to deliver fails, the Customer will collect the Products, where envisaged, directly at the local office of the courier, at the address and within the number of days eventually indicated. If all the attempts to deliver fail, the Products will be returned to Jesurum warehouse and the Order shall be considered cancelled. In this event, Jesurum will refund the Customer with the Price and the shipment cost within 14 days from the Products return to the warehouse. The related Sale Contract shall be considered automatically and definitely cancelled, excluding any further mutual claim, on whatever basis.

8.13 Cases of force majeure, unavailability of transport means, or however any unforeseeable or unavoidable event, which causes a delay in the delivery of the Products, or which makes delivery difficult or impossible, or which causes a significant increase in the cost of delivery to be charged to Jesurum, will entitle Jesurum to split up, postpone or cancel, as a whole or in part, the scheduled delivery, that is to conclude the Sale Contract. In case this circumstance occurs, Jesurum will promptly inform the Customer of its intentions by e-a mail to the e-mail address provided to the Customer when the Order was sent. The Customer is entitled to receive the amount paid back, excluding any further claim, on whatever basis, even for compensation, towards Jesurum.     

9. Right of Withdrawal

9.1 Consumers Customers have the right, pursuant to and in accordance with articles 52 and ff. of the L. Decree n. 206/2005, to recede from the Sale Contracts, for any reason and without having to provide any reason, within 14 days from the date of receipt of Products object of the Sale Contracts from the Consumers Customers or the subjects charged by them, except the respect of the procedures below indicated. The Right of Withdrawal shall be exercised by Consumers Customers  by sending an e-mail to Jesurum to online@jesurum.it, the withdrawal form available on this link HERE , duly filled in and signed, or any other written communication, including:

(i) declaration of will to take advantage of the Right of Withdrawal;

(ii) indication of the Product to be returned, item code and number of the Order related to the Product.

9.2 Products shall be returned to the address Jesurum S.r.l. Via Ungaresca 42, 33070 Maron di Brugnera, PN, Italy, at the Consumer Customer’s charge, within 14 working days from the date of the withdrawal communication. All the costs connected with the return of Products are entirely at the Consumers Customers’ charge.

9.3 In case the Consumers Customers avail themselves of Right of Withdrawal under this art. 9:
(i) the Consumers Customers  undertake to return the Products at the address Jesurum S.r.l., Via Ungaresca 42, 33070 Maron di Brugnera, PN, Italy, within 14  working days from the date of sending of the withdrawal communication;

(ii) all the costs connected with the return of the Products are entirely at the Consumers Customers ‘charge;
(iii) Jesurum undertakes to refund the Price and the shipment costs to the Consumer Customer as soon as possible, however no later than 14  days from the date of receipt of the withdrawal communication, provided that:

- the Products have been returned or the Consumer Customer has proven to have dispatched the Products;

- the Products are intact, complete of all their parts, including the eventual original tag applied by Jesurum and all the labels or the accompanying documents of the Product (indicating raw materials used, washing instructions, etc.);

- also the original packaging of the Products is returned and it is intact;

- eventual accessories, instruction leaflets, etc. are returned and they are intact;

- the Products have never been used nor washed.

9.4 In case the Consumers Customers avail themselves of the Right of Withdrawal in a manner which does not comply with the terms and conditions under the present art. 9, the Consumers Customers are not entitled to the refund of the Price and the shipment costs. In this case, the Sale Contract will remain valid and effective, and Jesurum will return the wrongfully returned Products to the Consumer Customer, by charging him with the related shipment costs.

9.5 As an alternative to the exercise of the Right of Withdrawal under the present art. 9, Consumers Customers can opt for a “Product change” according to the procedures and terms specified on the Online Shop. 

9.6 The withdrawal can be applied limited to single Products object of a unique Sale Contract, it being understood that the withdrawal applies to the Product in its entirety: the Consumer Customer will not be able to exercise the withdrawal limited to a part of the Product purchased (for instance, by returning a pillowcase of a bedding set).

9.7 In case the Product returned results to have been damaged during transport, Jesurum will only have to report the event to the Consumer Customer, to allow him/her to file a complaint in a timely manner towards the courier chosen, from which he/she can obtain a compensation.

9.8 Jesurum is not responsible for thefts or losses of the Products being returned. Each relative risk remains at the Consumer Customer‘s charge only.

9.10 In case of damaged Products returned, the Consumer Customer is only responsible for the decrease in value of the Products resulting from a Products handling different from the one to establish the nature, the characteristics and the operation of the Products, within the limits provided by art. 57 par. II of the Consumer Code.

9.11 The Consumer Customer expressly agrees that the refund of the Price and of shipping costs is made by means of a charge back on the credit card indicated by the Consumer Customer or by bank transfer, with the bank coordinates (IBAN and owner of the current account) forwarded to Jesurum by the Consumer Customer.   

  

10. Defects / non-compliances of Products

10.1 In case the Products present a guarantee recognised by the manufacturer (manufacturer’s guarantee), eventual defects/non-compliances of the Products shall be reported by the Customers directly to the manufacturer following the methods and terms indicated in the guarantee. 
10.2 Consumers Customers may ask Jesurum, within two years from the delivery Products under art. 132 of the Consumer Code, the solutions provided by the Consumer Code related to patent defects  of Products existing upon the delivery of the goods.

10.3 The Consumer Customer withdraws the rights recognized by art. 130 par. II of the Consumer Code if the patent defect detected is not reported to Jesurum within two months from its discovery.

10.4 Jesurum will act with the utmost diligence to replace, on its own responsibility and at its own expense, with other Products with the same quality and available at its warehouse, the Products delivered resulting damaged or defective as described above, provided that:

- the Products have been returned;

- the Products are intact, complete of all their parts;

- also the packaging/original packaging of Products is returned and it is intact;

- also eventual accessories, instruction leaflets etc. are returned and they are intact.

If the replacement with the same Product is not possible, Jesurum will refund the Customer with the amount paid for the Product which has proven to be defective, excluding any other responsibility of Jesurum, on whatever basis.

11. Responsibilities from the Product

The Products manufacturer is the subject responsible for any damage whatsoever occasioned by the defects of the Products themselves. 

12. Privacy

Jesurum declares and guarantees that Customers ‘personal data will be treated in compliance with provisions of the L. Decree 30 June 2003, no. 196, and amendments (“Privacy Code”). The details regarding the procedures of data treatment are indicated to Customers upon their registration to the Online Shop and they can be viewed by clicking on the following link HERE .

13. Errors and/or inaccuracy on the Online Shop

13.1 Jesurum undertakes to verify and regularly update the contents of the Online Shop in order to avoid errors or inaccuracy. However, it may happen that the Online Shop includes, or  over the time it may include, errors, inaccuracy or omissions. Therefore, Jesurum reserves the right to correct such errors, inaccuracy or omissions included on the Online Shop even after an Order submittal and it also reserves the right to change or update the information at any moment without any advance notice to Customers.

14. Intellectual Property

All the rights of Intellectual and Industrial Property connected with the Online Shop (included the contents) are and remain of exclusive property of Jesurum and/or the relative assignors, provided that the access to the Website and/or to the Online Shop and/or the conclusion of the Sale Contracts imply any right for the Customer on them. The Online Shop and its contents cannot be reproduced, neither integrally nor partially, transferred by electronic or conventional means, modified, connected and used for any purpose without the prior written consent of Jesurum, in favour of which all the related rights are reserved, in this exclusive report.

15. Applicable Law – Place of Jurisdiction – Out-of-Court settlement of Disputes  

15.1 The General Conditions and the Sale Contracts are meant concluded in Italy and regulated by the Italian Law, and they shall be interpreted in the light of the above.

15.2 The Court of Pordenone has exclusive jurisdiction for any dispute that may arise in connection with the General Conditions and/or the Sale Contracts, except for those disputes that may arise with Consumers Customers, which shall be subject to the jurisdiction of the place of residence or domicile of the Consumer Customer.
